Clause 1
|
Definitions
In this Agreement the following terms mean:
(1) | Act: the Property Agents and Motor Dealers Act 2000 as amended |
(2) | Gross Commission: The sales commission negotiated by the Listing Agency and the Seller. |
(3) | Regulation: the Property Agents and Motor Dealers Regulation 2001 as amended. |

Clause 2
|
Communication
All communications (including offers and otherwise) with the Seller must be made through the Listing Agency.
|

Clause 3
|
Warranty
3.1
|
The Listing Agency warrants that they have full authority under their Appointment of Agent to enter into this Conjunction Agreement.
|
3.2
|
By signing this Agreement both parties warrant that they are currently licensed Real Estate Agents in accordance with Section 160(1) of the Act. Property Agents and Motor Dealers Act 2000.
|
3.3
|
The Listing Agent or Conjunction Agent must not contravene the provisions of Section 144 and 145 of the Act Property Agents and Motor Dealers Act 2000. with respect to obtaining a beneficial interest.
|

|
Clause 4
|
Remuneration
The Conjunction Agency will, at or before Settlement, provide an invoice to the Listing Agency and the Listing Agency will pay the Conjunction Agency’s portion of Commission forthwith upon the Listing Agency receiving payment of the sales commission.

Clause 5
|
Termination
This Agreement can only be terminated by:
(a) | instruction to do so from the Seller; or |
(b) | agreement between the Listing Agency, Conjunction Agency and the Seller; or |
(c) | termination (including expiry) of a PAMD 22a Appointment of Real Estate Agent between the Listing Agency and the Seller. |

Clause 6
|
Provision of Documents
The parties agree and confirm this Agreement documents may be forwarded electronically if the recipient has provided an email address or facsimile number, for delivery or service of documents, in the Item Schedule to this Agreement.

Clause 7
|
Privacy Statement
7.1
|
The Conjunction Agency may use personal information provided by the Vendor to provide the services to the Vendor or on the Vendor’s behalf and may, subject to the Privacy Act 1988 (CTH) (where applicable), use and disclose such personal information to:
(1) | potential buyers; and/or |
(2) | property data collection agencies; and/or |
(3) | Owner’s Corporations & financial institutions; and/or |
(4) | other third parties as may be required by the Conjunction Agency for the purposes of marketing, sales promotion and administration relating to the use of the Agent’s products and services and complying with legislative and regulatory requirements. |

7.2
|
Without provision of certain information the Conjunction Agency may not be able to act effectively or at all on the Vendor's behalf.
|
7.3
|
The Vendor has the right to access such personal information and may require correction or amendment of any inaccurate, incomplete, out of date or irrelevant information.
